DROPSHIPPING TERMS AND CONDITIONS
These Terms constitute an agreement made between the website user and SOGA International. You must not access or use this website unless you accept all of these Terms. By accessing and using this website you confirm your acceptance of these Terms.
1. Intellectual Property
The trademarks on this website belong to SOGA International, our licensors, or our affiliates. Likewise, the materials and content on this website are our intellectual property. Without permission, any unregistered drop shipping website or channel cannot use, copy, or reproduce this content. As a registered drop shipper, you may use and reproduce limited content from this website for personal use, provided you acknowledge SOGA International as the source.
2. Limited Permission to Use
As a registered drop shipper, you may view, download, or print portions of this website (and use the permitted functionality of this website) solely for your personal or business use, provided that you agree not to change or delete any copyright or proprietary notices from such portions.
3. Account Registration
To be registered as a drop shipper, you must provide all requested registration details in the provided form. Your personal information is stored securely to protect against misuse and unauthorized access, modification, or disclosure.
4. Payment
The Dropshipper shall be obligated to remit upfront payment for the initial order and subsequent orders, contingent upon the Supplier receiving multiple orders from the Dropshipper. These payment terms shall only apply if the Dropshipper can demonstrate a satisfactory purchase history.
Payment Terms Options:
- Prepaid / Payment before dispatch: Bank-to-bank transfer or PayPal (provide PayPal email for payment link).
- 7 Days Payment: Bank transfer only; provide at least 3 credit references for verification purposes (Contact Person, Company Name, Contact Number, Email).
The Dropshippers are given a maximum credit limit of 500 AUD applicable within 7 days of payment terms unless otherwise agreed in writing that you are entitled to such additional credit amount. In the case the given amount exceeds, SOGA has the right to collect advance payment before dispatch.
If the overdue payment has not been settled, SOGA has the right not to process the new order unless the overdue is settled; however, delayed payment within 1 to 3 business days is acceptable if the payment cycle falls on weekends or public holidays.
Any product claims under the return/refund policy should not affect the 7 days payment terms. All invoices shall be paid before the due date regardless of the pending product claims. Drop shippers should not use pending product claims as the cause of late payment.
5. Price
All prices on this website and the product feed are GST inclusive with free shipping. The prices for the goods are stated and payable in Australian dollars (AUD). If there is a problem with your payment (for example, if your credit/debit card transaction is declined), we may contact you to make alternative payment arrangements.
Promotional Discounts:
Promotional discounts (e.g., 10–15%) may only be offered during SOGA-approved campaigns. Everyday pricing must not advertise unauthorized discounts or fall below supplier cost. Unauthorized discounting is considered a breach of these Terms and may result in account review.
Supply Price Confidentiality:
Dropshippers must not display, publish, or sell products at supply price, except where part of a SOGA-approved promotional campaign. Listing or selling products at supply price is strictly prohibited.
Recommended Selling Price (RSP):
SOGA International has introduced a Recommended Selling Price (RSP) in the Dropshipper Product Feed. The RSP replaces the previous RRP in the dropshipper feed.
Minimum Selling Price Requirement:
The RSP serves as the minimum selling price for all dropshippers. Dropshippers must not list, advertise, or sell products below the RSP under any circumstance.
Flexibility to Price Higher:
Dropshippers may set their retail prices at or above the RSP. There is no upper limit or restriction on selling above RSP.
6. Order Processing
All orders are processed automatically. Drop shippers must ensure that order information (Order Number, Shipping Name, Shipping Address, Product SKU, and Quantity) is accurate before submission.
Dropshipper's responsibility is to check the updated product pricing, descriptions, specifications, images, stock levels, and other information from the given product feed link to avoid misinformation or outdated content. Download the latest feed to see the product updates. (Copy the link and paste it into an incognito window).
SOGA reserves the right to cancel orders with incorrect pricing or information. Payments for canceled orders will be refunded.
7. Taxes, Duty, and Other Charges
Business registered in Australia: Payment is required to be paid to SOGA Australian Bank Account; therefore, 10% GST will apply to all product orders.
Business registered in New Zealand: Payment is required to be paid to SOGA NZ Bank Account; therefore, 15% GST will apply to all product orders.
For international shipping, any duties, customs clearance fees, or other charges are the responsibility of the drop shipper.
8. Shipping Time Frame
Shipment will take 2–3 business days if the given address is within Victoria, 3–5 business days if within NSW and SA, 5–7 business days if within QLD, 7–10 business days if within WA and NT, and 10 business days if within New Zealand. We will provide the tracking number and the ETA will be given on the courier’s tracking site for your reference. But for some instances, delivery might take longer than expected due to various reasons. If the package is not within the time frame given, please track your order or contact us.
9. Contact Information
Dropshippers are responsible for keeping contact details current and maintaining open communication with SOGA Support Team. Any inquiries related to orders, shipping, or product issues must be addressed promptly to ensure smooth operations and customer satisfaction.
SOGA reserves the right to terminate the contract without notice if all contact details are uncontactable.
10. Drop Shipper Change of Mind Policy
Dropshippers are responsible for verifying and finalizing orders before submission to SOGA Support Team. Once submitted, SOGA will process orders immediately. Drop shippers are liable for all costs (shipping, packaging, and product) if orders are canceled after submission.

13. Dropshipping Policy and Compliance Requirements
SOGA International is committed to maintaining high standards of product representation, customer experience, and marketplace compliance. All registered dropshippers are expected to adhere to the following:
13.1 Compliance Review and Account Management
SOGA reserves the right to review, suspend, or terminate dropshipper access to product feeds, ordering systems, or marketing materials if any Terms or compliance requirements are not met, or if practices negatively impact brand integrity, operational efficiency, or customer experience.
13.2 Policy Updates
SOGA may update this policy from time to time to align with evolving business practices, compliance standards, and marketplace requirements. Dropshippers will be notified of material changes and are expected to review and comply with the most recent version available on SOGA’s website.
13.3 Pricing Compliance Monitoring
SOGA reserves the right to monitor online listings to ensure compliance with pricing requirements, including adherence to the Recommended Selling Price (RSP).
Listings found below RSP may result in written notice, removal of product feed access, or suspension of dropshipper status.
